Packaged food maker Birds Eye is owned by company management, private equity firm Vestar Capital Partners and agricultural marketing cooperative Pro-Fac Cooperative Inc.
Pinnacle Foods is owned by private equity firm The Blackstone Group. Its portfolio of products includes Duncan Hines baking mixes, Vlasic pickles, Mrs. Paul's seafoods, Log Cabin syrups and Aunt Jemima breakfast products.
Birds Eye produces frozen meals and vegetables under the Birds Eye brand, as well as snacks under the Snyder of Berlin and Husman brands.
Pinnacle said the deal will be funded through new-debt financing and an equity contribution from Blackstone. The acquisition is expected to close by first quarter 2010.
